1.1 These Terms govern your access to and use of the [PLATFORM NAME] platform ("Platform") operated by Yiwu Baabde Import and Export Agent ("Company", "we", "us", "our"), registered in Tanzania under BRELA number [BRELA REGISTRATION NUMBER] and TIN [TIN NUMBER], with offices at [ADDRESS], [CITY], Tanzania.
1.2 You form a binding contract with us when you: (a) create an account; (b) tick the "I agree to the Terms of Service" checkbox; or (c) make your first shipment booking. Acceptance is a valid electronic record under section 8 of the Electronic Transactions Act, 2015 (Cap. 442).
1.3 If you do not agree to these Terms, do not register or use the Platform. Continued use after any amendment (see clause 13) constitutes acceptance of the updated Terms.
1.4 Our Privacy Policy is incorporated into and forms part of these Terms. Please read it alongside this document.

| Company's Dual Role | The Company acts as (a) Carrier when it directly receives and takes physical custody of Cargo (e.g., at a Company depot in China); and (b) Forwarding Agent when it arranges carriage through independent third-party shipping lines or airlines. The applicable role is stated in your booking confirmation; where not stated, the Company acts as Forwarding Agent only. |

3.1 You must be at least 18 years old to register or use the Platform.
3.2 You must provide true, accurate, and complete information at registration and keep it updated promptly.
3.3 KYC requirements. We are required by Tanzanian customs law and TRA regulations to collect and verify:
This data is legally required to prepare customs entry documentation for Tanzania Customs and Excise and China's GACC. Providing false identity information may constitute a customs offence and result in seizure, fines, or criminal prosecution.
3.4 If registering on behalf of a legal entity, you confirm you are authorised to bind that entity. The entity and the registering individual are jointly and severally liable.
3.5 Keep your credentials confidential. Notify us at ahmed@yiwubaabde.com if you suspect unauthorised access.
3.6 Duplicate accounts and account transfers are prohibited without our prior written consent.

5.1 Accurate shipment description. You must provide a complete and honest description of your Cargo, including: correct commodity name (not vague terms like "goods" or "spare parts"); quantity, gross weight, and dimensions; declared value in TZS or USD; country of origin; and HS tariff code where known. Misdeclaration is a TRA customs offence that may result in seizure, fines, or criminal prosecution.
5.2 Packaging. You are responsible for ensuring Cargo is properly packed for the transport mode used. Damage from inadequate packaging is not covered by our liability (see clause 7.6).

5.5 You are solely responsible for ensuring your Shipment complies with all applicable laws. We may refuse or halt any Shipment we reasonably believe may be unlawful, without liability for consequential loss.
5.6 All customs duties, import VAT, port levies, and handling fees payable in Tanzania are your sole responsibility.
6.1 All fees are in Tanzanian Shillings (TZS) and confirmed in your booking confirmation.
6.2 Payment is due as specified in your booking confirmation. We accept [PAYMENT METHOD]. We may withhold release of Cargo or shipping documents until all outstanding amounts are paid in full.
6.3 Additional charges passed to you at cost: port storage, demurrage, container detention, customs examination fees, fumigation, and regulatory inspection costs. We will notify you as soon as reasonably practicable.
6.4 Disputed invoices must be notified in writing within 7 working days of receipt, specifying the disputed amount and reason. Undisputed amounts remain due on the original due date.
6.5 Interest on overdue amounts: [INTEREST RATE]% per month or the maximum rate permitted by Tanzanian law, whichever is lower.
7.1 Dual-role liability framework.
(a) As Carrier (direct physical custody): Under common-law bailment principles applicable in Tanzania, we are liable for loss of or physical damage to Cargo while in our direct custody, unless we prove an excepted cause under clause 7.6.
(b) As Forwarding Agent: Our duty is to exercise reasonable professional skill and care in selecting and instructing Carriers and managing documentation. We are not liable for independent third-party Carriers' acts or omissions beyond what we can recover from them on your behalf.
7.2 Liability cap. Our maximum liability for cargo loss or damage is the lower of:
Where a Shipment is booked without a declared value, our maximum liability is TZS [DEFAULT CAP AMOUNT] per Shipment. These caps apply in aggregate across all claims from a single Shipment.
7.3 Claims notice — time limit. To preserve your right to claim you must:
Claims notified after 14 days will be considered time-barred, except where Tanzanian law prevents this limitation.
7.4 How to submit a claim. Email ahmed@yiwubaabde.com with subject "Cargo Claim — [Tracking Number]", including: booking/tracking reference; description and photographs of loss or damage; proof of declared value (e.g., commercial invoice); and signed delivery receipt. We will acknowledge within 5 working days and issue our determination within 30 calendar days of receiving all documents.
7.5 Subrogation. Where we settle a claim, you assign to us your recovery rights against the responsible third party up to the amount we paid.
7.6 Excepted causes — we are NOT liable for loss, damage, or delay caused by:
7.7 Third-party Carrier terms. Where carriage is by a third-party Carrier, that Carrier's terms — including the Montreal Convention 1999 (air) or Hague-Visby Rules (sea) — may also apply. We will provide these on written request.
7.8 Recommendation — buy cargo insurance. We strongly recommend all-risks cargo insurance for every Shipment. Our liability caps are unlikely to cover full replacement value of your goods in the event of total loss. We can connect you with providers on request but do not ourselves provide insurance.
We collect and process personal data about you in connection with your account and Shipments. Our Privacy Policy fully explains what data we collect, the lawful basis under the Personal Data Protection Act, 2022 (Cap. 44, R.E. 2023), who we share it with, your data subject rights, and cross-border transfer safeguards. By using the Platform you confirm you have read and understood the Privacy Policy.
9.1 All Platform content — text, graphics, logos, software, database structure, and tracking interfaces — is owned by or licensed to the Company and protected by Tanzanian and international intellectual property law.
9.2 You are granted a limited, non-exclusive, revocable licence to use the Platform solely to book and manage your Shipments. You may not copy, reverse-engineer, scrape, or redistribute any part of the Platform.
9.3 Unauthorised access — criminal liability. Attempting to access parts of the Platform you are not authorised to access, or circumventing security measures, is a criminal offence under the Cybercrimes Act, 2015 (Cap. 443). We will report such conduct to law-enforcement authorities.
9.4 You retain ownership of data you upload. You grant us a limited licence to use it to provide and improve our services as described in the Privacy Policy.
10.1 We may suspend or terminate your account immediately without prior notice if you: breach these Terms; provide false information; are suspected of fraud, money laundering, or shipping Prohibited Goods; fail to pay after a reminder; or are ordered to be terminated by a competent authority.
10.2 You may close your account at any time by contacting us. Outstanding payment obligations survive closure.
10.3 Lien over goods. We retain a common-law lien over any Cargo in our physical custody until all outstanding fees are paid. If unpaid after 30 days of written demand, we may apply to the court for an order of sale under applicable Tanzanian law.
10.4 Clauses 6, 7, 9.3, 11, and 12 survive termination of these Terms.
11.1 Subject to clause 7 and clause 11.3, our total liability — whether in contract, tort, breach of statutory duty, or otherwise — shall not exceed the total fees paid by you for the specific Shipment giving rise to the claim in the 12 months before the event.
11.2 To the fullest extent permitted by Tanzanian law, we are not liable for: loss of profit or revenue; loss of business or opportunity; loss of anticipated savings; loss of market or contracts; loss of goodwill; or any indirect or consequential loss — even if we were aware of the possibility of such loss.
11.3 Nothing in these Terms excludes or limits liability for: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; or any liability that cannot lawfully be excluded under Tanzanian law.
12.1 Governing law. These Terms are governed by the laws of the United Republic of Tanzania.
12.2 Informal resolution — first step. Both parties must first attempt in good faith to resolve any dispute by written communication. Contact us at ahmed@yiwubaabde.com. We will respond within 14 calendar days.
12.3 Mediation — second step. If informal resolution fails, either party may refer the dispute to mediation by [MEDIATION BODY — e.g., Tanzania Institute of Arbitration]. Costs are shared equally unless the mediator directs otherwise.
12.4 Jurisdiction — final step. If mediation fails or is declined, both parties submit to the exclusive jurisdiction of the High Court of Tanzania, Commercial Division, Dar es Salaam.
12.5 Nothing in this clause prevents you from contacting the Fair Competition Commission (FCC) or exercising rights under the Consumer Protection Act, 2009 (Cap. 395) or Fair Competition Act, 2003 (Cap. 285).
We may amend these Terms from time to time. We will notify you of material changes by email to your registered address or a prominent Platform notice at least 14 calendar days before changes take effect. Continued use after that date constitutes acceptance. You may close your account before the effective date if you do not accept the changes.
If any provision of these Terms is found invalid, unlawful, or unenforceable under Tanzanian law — including under the Fair Competition Act, 2003 or Consumer Protection Act, 2009 — that provision is severed. The remaining provisions continue in full force and effect.
